Financial Statement Review

Trust in Us, Confidence in Your Future

General description of the service

For Financial Statement Review services, our auditors perform review procedures in accordance with applicable review standards to provide clients with a “Review Report”, which expresses a conclusion as to whether the financial statements are presented fairly, in all material respects, in accordance with the applicable accounting standards, based on a limited assurance engagement. These Review Reports may be used by clients for submission to regulatory authorities, parent companies or other relevant stakeholders to demonstrate the transparency of their financial position, while also helping enhance the enterprise’s credibility and reliability.

Service Usage Context

  • Requirements from banks and credit institutions: Banks may require reviewed interim financial statements to assess an enterprise’s solvency and obtain updated information on its financial position without waiting for the year-end audit.
  • Legal or regulatory requirements: Public companies, listed companies and certain organisations may be required to prepare interim financial statements accompanied by a review report, or submit reviewed financial statements to regulatory authorities such as the State Securities Commission, Stock Exchanges, the State Bank of Vietnam or other competent authorities when required.
  • Preparation for securities issuance or capital raising: Enterprises issuing shares or bonds during the financial year, or raising capital from investors or investment funds, often require reviewed financial statements to enhance the credibility of the financial information provided.
  • Requirements from shareholders and business partners: Shareholders may require periodic financial transparency, while major business partners or suppliers may request reviewed financial statements to reduce risks before entering into long-term cooperation.
  • Internal management and information transparency: Enterprises may proactively engage a financial statement review to assess their financial position during the year, identify errors or issues in a timely manner and support management in making more effective decisions.

  • Collect initial information about the enterprise and the scope of the financial statements to be reviewed.
  • Assess independence and the ability to undertake the engagement.

  • Agree on the objectives, scope of work, timeline and service fees.
  • Sign the engagement contract in accordance with applicable professional standards.

  • Determine the review objective: to provide limited assurance on the financial statements.
  • Collect the financial statements, accounting policies and internal procedures.
  • Develop an appropriate plan for analytical procedures and enquiries.

  • Make enquiries of management and the accounting team regarding fluctuations in financial information, accounting policies and unusual transactions.
  • Perform analytical procedures: compare the current period with the prior period, and assess results against budgets, ratios and other financial indicators.
  • Assess reasonableness: review material items and identify potential misstatements or inconsistent information.

  • Discuss with management any matters requiring clarification or adjustment.
  • Draft the Review Report with a conclusion stating either:
    • No material matters have come to our attention that would indicate the financial statements are not fairly presented.
    • Or clearly set out any qualifications or limitations, if applicable.

  • The Review Report is formally issued and provided to the enterprise, investors, banks or other relevant stakeholders.
  • A Management Letter may also be issued with recommendations for improving the accounting system and internal controls.

Frequently asked questions

1. Is my enterprise required to have its financial statements audited?
Whether an audit is mandatory depends on the type of enterprise, its industry and the applicable legal requirements at the relevant time. In addition to statutory requirements, an enterprise may also choose to have its financial statements audited when reliable financial information is required by banks, investors, shareholders, the parent company or business partners.
2. What is the difference between a financial statement audit and a financial statement review?

An audit provides reasonable assurance and includes an audit opinion on whether the financial statements are presented fairly, in all material respects. A review, in contrast, provides limited assurance and generally involves a narrower scope of procedures than an audit. The appropriate engagement depends on legal requirements, the intended use of the financial statements and the needs of relevant stakeholders.

3. What should an enterprise prepare before an audit begins?
Enterprises are generally required to prepare financial statements, accounting books and records, supporting documents relating to material balances, contracts, tax matters, assets, receivables and payables, and significant transactions during the period. A detailed list of required documents will be agreed in advance so that the enterprise can prepare proactively and coordinate efficiently throughout the audit.
4. How long does an audit usually take, and will it affect the enterprise’s operations?
The timeline depends on the size of the enterprise, the complexity of its operations, the quality of its accounting records and the scope of the engagement. Before commencement, Crowe Vietnam will agree the audit plan, timeline and key coordination contacts with the enterprise to minimise disruption to day-to-day operations and ensure the timely issuance of the report.
5. In addition to the audit report, will the enterprise receive recommendations for improvement?
Depending on the scope and findings of the audit, the enterprise may receive discussions or a management letter covering matters identified during the engagement, such as risks, compliance observations, or limitations in processes and internal controls. These insights can help management identify areas for improvement and strengthen the quality of financial governance.
