Wilmington plc (Wilmington), the provider of data, information, education and training services in the global Governance, Risk and Compliance (GRC) markets, has acquired Phoenix Health & Safety (Phoenix) for an initial cash consideration of £30.25 million. Further consideration is payable based on Phoenix’s financial performance over the next three years.
Phoenix Health & Safety offers training for a range of internationally recognised and regulated Health, Safety and Environmental (HSE) qualifications. The acquisition strengthens Wilmington's capabilities in the provision of must-have training and education to regulated customers and expands the Group's position in the growing HSE training market, alongside Astutis, which was acquired in November 2023.
The acquisition is consistent with Wilmington's strategic aim to build on its already strong presence in large and growing GRC markets.
Crowe provided bidder support and transaction services to Wilmington, a Crowe team led by Mitesh Patelia, Peter Varley, George Lawford and Will Smith. The tax due diligence was led by Emma Reynolds and valuation services were led by Geert Struyven.
"We are delighted with the acquisition of Phoenix, which will strengthen Wilmington’s training and education capabilities to regulated customers, while expanding its position in the HSE training market.
The Crowe corporate finance team is a valuable and trusted advisor for us. They addressed key risks areas within a succinct report and their effective communication of key findings to management and the broader advisory team fostered clarity and understanding. Their attentive support and responsiveness throughout the transaction process to completion was effective in enabling us to close the deal successfully."
