Background
On August 12, 2025, the Ontario Superior Court of Justice (Commercial List) (the "Court") issued an order (the "Initial Order") pursuant to the Companies' Creditors Arrangement Act ("CCAA"). The Initial Order provided for certain relief, including a stay of proceedings against 2690044 Ontario Inc. ( the “Debtor” or “269”) and ordered that Crowe Soberman Inc be appointed as Court-appointed monitor of the Debtor (in such capacity, the “Monitor”).
Pursuant to a motion made by the Applicant on August 20, 2025, the Court issued an Amended and Restated Initial Order which, among other things, extended the stay of proceedings up to and including November 10, 2025. Furthermore, the Court also granted the Sales and Investment Solicitation Process Order (the “SISP Order”), which is described in detail below.
Sales and Investment Solicitation Process
Pursuant to the SISP Order, the Monitor is conducting a court-approved Sale and Investment Solicitation Process for the 269’s assets and ongoing operation on “as-is” “where-is” basis (“SISP”).
Should any party wish to participate in the SISP and to undertake a more detailed due diligence review of the Company, a draft Non-Disclosure Agreement (“NDA”) is available below.
