Overview

On April 14, 2025, Antler Creek Contracting Ltd. (the “Company”) filed a Notice of Intention to Make a Proposal (“NOI”) pursuant to subsection 50.4(1) of the Bankruptcy and Insolvency Act R.S.C., 1985, c. B-3 (“BIA”) and Crowe MacKay & Company consented to act as Licensed Insolvency Trustee (the “Proposal Trustee”) under the Proposal.

Pursuant to subsection 50.4(8) of the BIA, the initial stay period under the NOI proceeding is from April 14, 2025 to May 13, 2025 unless the period is extended by the Court upon application by the Company. During this period, the Proposal Trustee will monitor the business of the Company and assist the Company in preparing its Proposal.

Pursuant to section 187(7) of the BIA, on April 30, 2025, the Company made an application to Court to approve the transfer of proceedings from the Prince Rupert Registry to the Vancouver Registry. On May 5, 2025, the Court granted the transfer of proceedings. A copy of the application and the Court order can be found below.

On May 5, 2025, the Company made an application to Court to approve, among other things, the granting of an extension of the stay of proceedings and the deadline for the filing of a proposal, from May 13, 2025 to June 27, 2025, an administration charge, and the approval of interim financing and the related interim financing charge, as well as approval for the payment of certain critical pre-filing obligations. On May 13, 2025, the Court granted the relief sought. Copies of the relevant pleadings are below.

On June 19, 2025, the Company made an application to the Court to approve, among other things, the granting of the extension of the stay of proceedings and the deadline to file a proposal to August 11, 2025. The Court hearing took place on June 23, 2025. The Court only granted an extension of the stay of proceedings and the deadline to file a proposal up until July 4, 2025. A copy of the Court order can be found below.

On June 30, 2025, the Company made an application to the Court to approve, among other things, the granting of an extension of the stay of proceedings and the deadline to file a proposal to August 18, 2025. The Court hearing took place on July 3rd, 2025, upon which the Court granted the relief sought. Copies of the relevant pleadings can be found below.

On August 8, 2025, the Company made an application to the Court to approve, among other things, the granting of an extension of the stay of proceedings and the deadline to file a proposal to October 2, 2025, and the approval of the proposed sales and investment solicitation process (“SISP”). The hearing took place on August 13, 2025. The Court granted the extension of the stay of proceedings to October 2, 2025, and the approval of the SISP. On September 29, 2025, the Company made an application to Court to approve, among other things, the granting of an extension of the stay of proceedings and the deadline to file a proposal to October 14, 2025. The Court hearing took place on October 1, 2025, upon which the Court granted the relief sought. Copies of the relevant pleadings can be found below.

On October 8, 2025, the Company made an application to Court to approve, among other things, the approval of the sale of the Company to 155Co as contemplated in the Superior Bid (the “Transaction”) dated September 18, 2025. Additionally, the Company sought approval from the Court to continue the Proposal proceedings under the Companies’ Creditors Arrangement Act in order to afford additional time to complete the Transaction. The Court hearing took place on October 10, 2025, upon which the Court granted all the relief sought. Copies of the relevant pleadings can be found below.

Since the order granted on October 10, 2025, 155Co and the Company have experienced delays in completing the Transaction. Accordingly, on October 22, 2025, the Company made an application to Court to approve, among other things, the granting of an extension of the stay period up to and including November 28, 2025. The Court hearing took place on October 24, 2025 and the Court granted all of the relief sought.

On December 1, 2025 the Company made an application to Court to approve, among other things, the granting of an extension of the stay period up to and including December 19, 2025. The Court hearing will take place on December 3, 2025 at 9:00AM.
