Mergers and Acquisitions Insights

Perspectives on transaction strategy, deal structure, due diligence, valuation, and the decisions that shape successful acquisitions and divestments.

Transaction Value Is Shaped Before Completion

Executives evaluating a business transaction.

The success of a transaction cannot be judged by completion alone. The strategic rationale, quality of information, assumptions underlying value, allocation of risk, and readiness for integration or separation all influence whether the intended outcome can be achieved.

Effective transaction decisions require more than agreement on price. They require a clear understanding of what is being acquired or transferred, how the transaction will be structured, which risks remain with each party, and what must happen after completion to protect value.

Evidence Must Challenge the Deal Rationale

Due diligence is most valuable when it tests the assumptions supporting the transaction rather than merely confirming information already presented. Financial performance, cash generation, liabilities, contractual obligations, operational dependencies, and the sustainability of projected benefits may each affect price, structure, protections, or the decision to proceed.

The same discipline applies to sellers. Early preparation can reveal matters that may delay negotiations, weaken value, or create uncertainty when prospective buyers begin their assessment.

Structure Determines How Risk Is Shared

Two transactions with a similar stated value may produce materially different outcomes. Payment timing, financing arrangements, conditions, warranties, completion adjustments, retained obligations, and post-transaction commitments influence both economic value and risk exposure.

A sound structure should reflect the commercial purpose of the transaction, the evidence available, and the parties’ capacity to meet their respective obligations. Complexity should serve a defined purpose rather than obscure the underlying economics.
