New obligation for organizational units
Amendment to the Commercial Code, which
entered into force on 1 October 2020, introduced the obligation to
confirm data on the organizational unit of a foreign legal entity and
the organizational unit of a Slovak legal entity in the Commercial Register.
The mentioned organizational units are obliged to submit a proposal for registration, by which they either confirm the entered data or propose a change in the entered data in the Commercial Register. The proposal for confirmation of the entered data is submitted exclusively in electronic form on a special form of the Ministry of Justice of the Slovak Republic.
The deadline for fulfilling this obligation expires on September 30, 2021. Confirmation of data made within the statutory deadline is not subject to the fee obligation. However, non-compliance is sanctioned by deleting organizational units from the Commercial Register.
