Bedrijf overdragen? Drie btw-lessen uit nieuwe Europese rechtspraak

Bij een bedrijfsverkoop, bedrijfsopvolging of reorganisatie kan een bijzondere regeling ervoor zorgen dat over de overdracht geen btw wordt berekend. Maar de toepassing daarvan is geen automatisme. Drie Europese uitspraken uit september 2026 laten zien waarom de inrichting van de transactie aandacht verdient, vooral bij tussenstappen en vastgoed.

Voor ondernemers zijn de financiële gevolgen relevant. Naast btw over de overdracht kan ook een verplichting ontstaan om eerder afgetrokken btw terug te betalen. Door deze gevolgen vooraf te beoordelen, kunnen partijen ze meenemen in de structuur, financiering en overeenkomsten.

Wanneer blijft een bedrijfsoverdracht buiten de btw-heffing?

Voor de overdracht van een onderneming of zelfstandig bedrijfsonderdeel bestaat de regeling voor de ‘overgang van een algemeenheid van goederen’, internationaal vaak aangeduid als TOGC. Als deze regeling van toepassing is, wordt over de overdracht geen btw berekend.

Daarvoor moeten de overgedragen onderdelen samen een onderneming vormen waarmee de verkrijger een zelfstandige economische activiteit kan voortzetten. De verkrijger moet bovendien van plan zijn die onderneming te exploiteren. De verkoop van uitsluitend losse bezittingen is daarvoor onvoldoende.

De recente uitspraken verduidelijken hoe deze voorwaarden uitwerken bij bedrijfsopvolging, het achterblijven van vastgoed en de inbreng van panden in een vennootschap.

Wat gebeurde er?

Een moeder wilde haar onderneming schenken aan twee dochters, ieder voor 50%. Zij zouden hun aandeel vervolgens inbrengen in hun gezamenlijke vennootschap.

Een ondernemer droeg een tuincentrum over, hield het bedrijfspand en verhuurde dit vervolgens aan de koper.

Een ondernemer bracht verhuurde panden zonder vergoeding in zijn vennootschap in. De nationale wetgeving beperkte de bedrijfsoverdrachtsregeling tot bepaalde categorieën waar het exploiteren van vastgoed niet onder valt.

Wat oordeelde het Gerecht?

De schenking kwalificeerde niet als een overdracht van een onderneming: iedere dochter ontving een aandeel waarmee zij niet zelfstandig de onderneming kon exploiteren. De latere inbreng in de gezamenlijke vennootschap veranderde dat niet.

De bedrijfsoverdracht kon kwalificeren als een overdracht van een onderneming, maar de nieuw aangegane verhuur viel buiten de regeling. De vrijgestelde verhuur leidde tot terugbetaling van een deel van de eerder afgetrokken btw.

Nationale beperkingen moeten binnen de grenzen van het Unierecht blijven. De Oostenrijkse beperking voldeed daar volgens het Gerecht niet aan. Daarnaast liet het Gerecht ruimte voor de mogelijkheid dat een inbreng zonder tegenprestatie, indien artikel 19 niet van toepassing is, als een fictieve levering (onttrekking) kan kwalificeren.

Praktische les

Beoordeel iedere stap van de opvolging. Het voortzetten van de onderneming aan het einde van de route is niet voldoende.

Beoordeel achterblijvend vastgoed en de verhuur afzonderlijk, inclusief de gevolgen voor eerder afgetrokken btw.

Controleer zowel de nationale voorwaarden als de gevolgen wanneer de regeling niet van toepassing is. Zonder vergoeding betekent niet automatisch zonder btw.

Ook zonder vergoeding kan btw verschuldigd zijn
Vooral bij schenkingen en interne reorganisaties kan de gedachte ontstaan dat zonder betaling ook geen btw verschuldigd is.

Als de bijzondere regeling voor bedrijfsoverdrachten niet van toepassing is, betekent dit niet automatisch dat de overdracht zonder btw-gevolgen blijft.
Op basis van het Oostenrijkse arrest kan onder bepaalde omstandigheden kan sprake zijn van een fictieve levering, waardoor de overdracht voor de btw wordt behandeld alsof de goederen tegen betaling zijn geleverd. Wanneer op die goederen of bestanddelen daarvan eerder geheel of gedeeltelijk btw in aftrek is gebracht, kan daardoor alsnog btw verschuldigd zijn. Of daadwerkelijk btw moet worden afgedragen, hangt vervolgens af van de feiten en de btw-behandeling van de betreffende goederen.

Wat betekent dit voor uw transactie?

De uitspraken onderstrepen dat zowel het eindresultaat als de route daarheen aandacht verdient. Breng daarom vóór het vastleggen van de afspraken in kaart:

  • welke onderdelen worden overgedragen en wie de onderneming voortzet;
  • of tussenstappen afzonderlijke btw-gevolgen hebben;
  • wat er gebeurt met het vastgoed en eerder afgetrokken btw;
  • welke kosten ontstaan als de bijzondere regeling niet geldt.

Een tijdige beoordeling helpt om onverwachte btw-kosten te voorkomen of deze vooraf te verwerken in de prijs, financiering en verdeling van risico’s tussen partijen.

Business Transfer? Three VAT Lessons from Recent European Case Law

In a business sale, succession, or internal reorganization, a special VAT relief may apply that allows a transfer to take place without charging VAT. However, the relief is not automatic. Three judgments of the General Court of the European Union issued in September 2026 demonstrate why careful transaction structuring remains essential, particularly where intermediate steps or real estate are involved.

The financial implications can be significant. Apart from VAT becoming due on the transfer itself, businesses may also face an obligation to repay VAT previously recovered. Assessing these consequences in advance allows parties to address them in the transaction structure, financing arrangements, and contractual risk allocation.


When Can a Business Transfer Fall Outside the Scope of VAT?

The transfer of a business or an autonomous part of a business may qualify for the "transfer of a going concern" (TOGC) relief, referred to in EU VAT law as a transfer of a totality of assets.

If the relief applies, the transfer is generally treated as falling outside the scope of VAT.

To qualify, the transferred assets and activities must together constitute a business that enables the transferee to continue an independent economic activity. In addition, the transferee must intend to continue operating that business. A sale of isolated assets alone will generally not be sufficient.

The recent judgments provide additional guidance on how these requirements apply in the context of business succession planning, retained real estate, and transfers of property into corporate structures.

Facts

 

A mother intended to gift her business equally to her two daughters, each receiving a 50% interest. The daughters would subsequently contribute their interests to a jointly owned company.

 

A business owner transferred a garden centre while retaining ownership of the business premises, which were subsequently leased to the purchaser.

 

An entrepreneur contributed leased real estate to his company without consideration. Austrian legislation restricted the TOGC relief to certain categories of business transfers and excluded real estate exploitation activities.

 

Court's decision

 

The donation did not qualify as a transfer of a business. Neither daughter received an interest enabling her to independently continue the business. The subsequent contribution to a jointly owned company could not alter that conclusion.

 

The transfer of the garden centre itself could qualify as a transfer of a going concern (TOGC). However, the newly established lease fell outside the relief. The VAT-exempt lease triggered a partial adjustment and repayment of previously recovered input VAT.

 

National restrictions on TOGC relief must remain within the limits of EU law. The Court concluded that the Austrian restriction exceeded those limits. It also left open the possibility that, where Article 19 of the VAT Directive does not apply, a transfer without consideration may qualify as a deemed supply for VAT purposes.

 

Key practical lesson

 

Review each step of a succession plan separately. The fact that the business ultimately continues is not sufficient.

 

Assess retained real estate and subsequent leasing arrangements separately, including the impact on historic VAT recovery and adjustment obligations.

 

Verify both the domestic eligibility requirements and the consequences if TOGC relief does not apply. A transfer without consideration does not automatically mean a transfer without VAT consequences.

No Consideration Does Not Necessarily Mean No VAT

Particularly in the context of gifts, family succession planning, and internal reorganizations, it is often assumed that the absence of payment means that no VAT can arise.

The Austrian judgment highlights that this assumption may be incorrect.

Where the TOGC relief is unavailable, the transfer does not automatically remain free of VAT implications. Under certain circumstances, a transfer without consideration may constitute a deemed supply for VAT purposes. As a result, the transfer may be treated as if assets had been supplied for consideration.

Where input VAT was previously deducted on the relevant assets, this can trigger a VAT liability despite the absence of a purchase price. Whether VAT ultimately becomes payable will depend on the specific facts and the VAT treatment of the assets concerned.


What Does This Mean for Your Transaction?

These judgments demonstrate that both the intended outcome and the route taken to achieve it require careful VAT analysis.
Before finalizing a transaction, parties should consider:

  • Which assets and activities are being transferred and who will continue the business;
  • Whether intermediate steps create separate VAT consequences;
  • How retained real estate should be treated and whether VAT adjustment obligations may arise;
  • The financial impact if the TOGC relief does not apply.

An early VAT assessment can help prevent unexpected costs or enable parties to address them upfront through pricing mechanisms, financing arrangements, and contractual allocation of risk.
