Transaction support services refer to due diligence and other services needed prior to an acquisition where the acquirer inquires into the finances of the target entity to ensure that the acquirer is not misled by mis-representations from the seller or blindsided by critical issues in the acquisition.
In this exercise, the due diligence service providers will include lawyers, engineers, auditors and other experts depending on the scale and complexity of the due diligence exercise.
Our role is that of financial and tax due diligence auditors. Acquirers should not under-rate the necessity of these exercises because of past accounting improprieties in the financial statements of target companies such as in the acquisition of Autonomy by Hewlett Packard in the United States of America.
