Company Secretarial Manager

Contract type: Full-time Permanent. Hybrid working arrangements can be facilitated.

Job purpose

This role is to manage a portfolio of clients in the Company Secretarial Department. The Department provides expert advice and support in relation to company law matters to our clients and to our audit, tax, corporate finance and insolvency teams.

This role operates within an agile team of four people where the volume of work can vary depending on deadlines and the flow of work from other departments.  The successful candidate will be expected to work as part of a team, providing both compliance and specialist company secretarial services.

Key responsibilities

  1. Oversee the management of annual compliance matters and ensuring timely filings to the Companies Registration Office and Companies House
  2. Incorporation and administration of external companies, incorporation and voluntary strike off of Irish and UK companies and assisting clients with their compliance requirements under the beneficial ownership regulations
  3. Working with other senior personnel across the firm in audit, tax, insolvency and corporate finance in relation to group reorganisations and special project work
  4. Providing support internally both to the company secretarial team and partner and manager groups on compliance and technical matters
  5. Performance of due diligence on company secretarial records for new and existing client companies
  6. Supervision and development of team members
  7. Attendance at client meetings
  8. Work with the Senior Manager in developing the client portfolio and in suggesting improvements/additions to systems and procedures and on ad hoc projects in support of the departmental objectives
  9. Keep up to date with changes in legislation

Person specification

Essential Knowledge & Skills:

  • ICSA qualified with two plus years’ experience of providing company secretarial services to multiple companies in either a practice role or in-house role in Irish company law
  • Highly organised, proactive individual with strong attention to detail and a sense of responsibility and the ability to work on own initiative and to tight deadlines
  • Strong communicator with experience in working as part of a team and the ability to communicate with staff at all levels
  • Excellent verbal and written communication skills
  • Experience of Blueprint or a similar company secretarial software package is preferable
  • Full Microsoft Office suite skills
